Terms of Service

1. Acceptance of Terms

By accessing or using VendShift (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all users, including free and paid account holders.

2. Account Terms

  • You must be at least 18 years old to use this Service.
  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate and complete information when creating your account.
  • You are responsible for all activity that occurs under your account.
  • You may not share your account credentials with third parties.
  • VendShift reserves the right to suspend or terminate accounts that violate these terms.

3. Subscriptions and Payment

VendShift offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at the time of purchase.

  • All payments are processed securely through Stripe.
  • Subscription fees are non-refundable except as required by law.
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
  • VendShift reserves the right to change pricing with 30 days' notice. Existing subscribers will not be affected during their current billing cycle.
  • Free plan users are subject to usage limits as described on the pricing page.

4. Acceptable Use

You agree not to use VendShift to:

  • Violate any applicable laws or regulations
  • Send spam, unsolicited emails, or engage in deceptive outreach practices
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to infringe intellectual property rights of third parties
  • Resell or sublicense access to the Service without written permission

5. Your Data and Content

You retain ownership of all data and content you upload to VendShift. By using the Service, you grant VendShift a limited license to store, process, and display your content solely for the purpose of providing the Service to you.

You are solely responsible for the accuracy and legality of data you upload. VendShift is not responsible for any errors, omissions, or inaccuracies in your data.

6. Intellectual Property

All elements of VendShift, including the platform, design, AI models, and branding, are the exclusive property of VendShift. Nothing in these Terms grants you any right to use our trademarks, logos, or intellectual property without prior written consent.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VENDSHIFT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OF AI-GENERATED CONTENT OR BUSINESS RECOMMENDATIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDSHIFT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Termination

Either party may terminate these Terms at any time. You may terminate by deleting your account. VendShift may terminate or suspend your access immediately, without notice, if you breach these Terms or engage in conduct we determine to be harmful to the Service or other users.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

VendShift reserves the right to modify these Terms at any time. We will notify you of material changes via email or an in-app notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
